The terms that apply when a business buys from us: prices, ordering, payment on invoice, delivery, inspection, returns, warranty and liability.
This is a translation; the Dutch text prevails.
1. Who these terms are for
These terms apply to every quote, order and delivery of Vertex Safety B.V. to a business customer (you buy in the course of your trade, business or profession). They also apply to orders placed through a business account on this website. We do not accept your own purchasing terms unless we agree to them in writing.
These terms do not apply to consumers buying for private use; separate consumer terms apply to them.
2. Prices and quotes
- We sell to business customers only. Prices on the website are list prices in euros and exclude VAT (BTW) and shipping, unless stated otherwise.
- Showing a product or a price is an invitation to order, not a binding offer. A written quote is valid for 30 days unless it says otherwise.
- Obvious errors in prices or product details do not bind us.
- If a manufacturer raises its price or exchange rates change significantly between your order and delivery, we may adjust the price after telling you; you may then cancel that part of the order free of charge.
3. How the contract is formed
Your order is a request. The contract is formed when we confirm the order by email or start delivery. We may refuse an order or ask for prepayment, for example when the credit check is negative or the order is unusually large.
4. VAT
- Delivery in the Netherlands: 21% Dutch VAT.
- Delivery to a business in another EU country with a VAT number that is valid in the EU VIES system: 0% (intra-community supply, reverse charge). Without a valid number we charge Dutch VAT.
5. Payment
- Payment on invoice, within the term stated on the invoice; if no term is stated, within 30 days of the invoice date.
- If you pay late, you are in default without a reminder. We may then charge the statutory commercial interest (article 6:119a of the Dutch Civil Code) and reasonable collection costs, and suspend further deliveries.
- You may not set off our invoices against claims you have on us.
6. Delivery and shipping
- We deliver within the EU. Delivery times are estimates; a late delivery does not give you the right to compensation, but you may cancel the order if we have not delivered within a reasonable extra period you set in writing.
- Shipping costs €15 per order. Orders from €300 (excluding VAT) are shipped free of charge. Special freight, such as dangerous goods or pallets, is quoted separately.
- We may deliver in parts; each part may be invoiced separately.
- The risk passes to you on delivery at the agreed address.
7. Retention of title
The goods remain our property until you have paid everything you owe us under the contract.
8. Inspection and complaints
Check the goods when they arrive. Report visible damage or shortages on the delivery note and to us within 8 days of delivery; report hidden defects within 8 days of discovering them. Send photos and your order number to besafe@vertexsafety.nl. A complaint does not suspend your payment obligation.
9. Returns
Business customers have no statutory right of withdrawal. Returns are possible only after our written approval, within 14 days of delivery, unused, in the original undamaged packaging and at your cost. We may charge handling costs. Products made or ordered specially for you, and products whose hygiene seal is broken, cannot be returned.
10. Warranty
We pass on the manufacturer’s warranty. A defect covered by the warranty is solved, at our choice, by repair, replacement or a credit note. The warranty does not cover normal wear, use contrary to the manual, missing calibration or maintenance, or repair by third parties.
11. Use of safety products
You are responsible for selecting the right protective equipment and detection devices on the basis of your risk inventory (RI&E), for instructing and training your staff, and for inspection, calibration and replacement as the manufacturer prescribes. Our advice is given to the best of our knowledge but does not replace that assessment.
12. Liability and force majeure
- Our liability is limited to the invoice value of the order concerned and, in any case, to the amount our insurer pays out.
- We are not liable for indirect damage, such as lost profit, lost production or fines.
- These limits do not apply to damage caused by our intent or gross negligence, or where the law does not allow them.
- If we cannot perform because of circumstances beyond our control (for example supplier failure, transport disruption or government measures), we may suspend or cancel the contract without paying compensation.
13. Law and disputes
Dutch law applies. The UN Convention on Contracts for the International Sale of Goods (CISG) does not apply. Disputes are decided by the competent court in Rotterdam.
